Welcome to Impact Online (impact.online), a technology platform that empowers non-profit organizations to raise funds online. By accessing our website or using our donation services (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms").

IMPORTANT: Impact Online is a technical service provider. We are not a bank, a financial institution, or a charitable organization. We do not solicit donations for our own benefit. All donations made through this platform are direct transactions between you and the specific Campaign Organizer (Non-Profit) you have chosen to support.

1. Definitions

"Platform": The website impact.online and its related software and services provided by ceed digital innovation GmbH, located at Martinstraße 25/4, 3400 Klosterneuburg, Austria.

"Campaign Organizer": The non-profit organization or charity that has created a fundraising campaign on the Platform. The specific Organizer is identified on the campaign page you are visiting.

"User" or "Donor": Any individual who visits the Platform or makes a donation.

"Donation": A monetary transaction initiated by a User to support a Campaign Organizer.

"Eligibility": You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Platform and make a donation. By using the Services, you represent and warrant that you have the legal capacity to enter into a binding contract.

2. Our Role (Technical Intermediary)

2.1 Technology Only

Impact Online provides the technical infrastructure (hosting, payment forms, and security) to allow Campaign Organizers to collect donations. We do not oversee, manage, or control the funds raised.

2.2 No Endorsement

The presence of a campaign on our Platform does not imply an endorsement or verification by Impact Online. We do not guarantee the accuracy, truthfulness, or validity of any content posted by Campaign Organizers. You donate at your own risk.

3. Donations and Payments

3.1 The Donation Contract

When you make a donation, you are entering into a legal agreement directly with the Campaign Organizer. Impact Online is not a party to that agreement, except as a limited payment agent for the Organizer.

3.2 Merchant of Record

The Campaign Organizer is the "Merchant of Record" for your transaction. The name that appears on your bank or credit card statement will typically reference the Campaign Organizer (e.g., "DONATION [ORG NAME]").

3.3 Payment Processing

We use Stripe Payments ("Stripe") to process your donation securely. By making a donation, you acknowledge and agree to Stripe's Terms of Service. Impact Online does not process your full credit card number or CVC code.

3.4 Fees

The Platform charges a technology fee to the Campaign Organizer for the use of the Services. This fee is deducted from the gross donation amount before settlement. You, as the Donor, are not charged any additional fees on top of your selected donation amount, unless explicitly stated at checkout (e.g., "Cover the fees" option).

3.5 Recurring Donations (Subscriptions)

If you select a recurring donation option (e.g., monthly), you authorize the Campaign Organizer (via Stripe) to charge your payment method repeatedly at the selected interval until you cancel. You may cancel a recurring donation at any time by following the link in your donation confirmation email or contacting the Campaign Organizer directly. Cancellation requests typically take 3–5 business days to process.

4. Refunds and Disputes

4.1 No Refunds by Platform

Because Impact Online does not hold the funds (they are settled directly to the Campaign Organizer via Stripe Connect), we do not have the authority to issue refunds.

4.2 Contact the Organizer

All requests for refunds, cancellations, or chargeback disputes must be directed to the Campaign Organizer using the contact details provided in the footer of the campaign page.

4.3 Finality

All donations are considered final and complete once processed by Stripe, subject only to the refund policy of the specific Campaign Organizer.

5. Taxes and Receipts

5.1 No Tax Advice

Impact Online makes no representation as to the tax-deductibility of your donation. Tax laws vary by jurisdiction. You should consult your tax advisor.

5.2 Receipts

Any automated email receipt you receive from the Platform is sent on behalf of the Campaign Organizer. The Campaign Organizer is solely responsible for ensuring the receipt meets applicable tax requirements in your country.

7.1 Responsibility for Inputs

You are solely responsible for any text, images, or data you input into the Platform ("User Input"), including inputs processed by our AI features. You represent and warrant that you own or have the necessary rights to use such User Input and that it does not violate any third-party rights or applicable laws.

7.2 Prohibited AI Inputs

You agree NOT to enter any of the following into our AI-powered fields:

7.3 License to Process

By providing User Input, you grant us (and our third-party AI providers) a worldwide, royalty-free license to process, translate, and analyze your input solely for the purpose of providing the Services (e.g., generating personalized content).

7.4 Indemnification

You agree to indemnify and hold Impact Online harmless from any claims, damages, or legal costs arising from your User Input (e.g., if your input infringes a copyright or violates privacy laws).

8. Intellectual Property

8.1 Platform IP

All software, code, design, and branding associated with impact.online are the property of ceed digital innovation GmbH which is dedicated to make it easier for Nonprofits to raise funds.

8.2 Campaign Content

Text, images, and logos displayed on a specific campaign page are the property of the respective Campaign Organizer.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

10. Limitation of Liability

10.1 Unlimited Liability

We are fully liable for damages caused by intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit), as well as for damages resulting from injury to life, body, or health.

10.2 Limited Liability

In cases of slight negligence (leichte Fahrlässigkeit), we are only liable for the breach of material contractual obligations (cardinal duties). In such cases, our liability is limited to the typical, foreseeable damage at the time of the contract.

10.3 Indirect Damages

To the extent permitted by law, we are not liable for indirect damages, lost profits, or consequential damages (including lost donation opportunities) arising from technical downtime or errors.

11. Third-Party Links & Services

The Platform may integrate with third-party services (such as Meta/Facebook, Google, or Stripe). Your use of these features may be subject to the terms and privacy policies of those third parties. Impact Online is not responsible for the availability or accuracy of such third-party services.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Austria, excluding its conflict of law rules and the UN Sales Convention (CISG). The exclusive place of jurisdiction for all disputes is Vienna, Austria, unless a different jurisdiction is mandatory for consumers under the Austrian Consumer Protection Act (KSchG).
